Non-competition agreements, common in employment relationships and business sales, are designed to protect employers and purchasers and offer employees and purchasers certain incentives for entering into them. In the employment arena, non-solicitation agreements, either within or separate from a non-competition agreement, can be incorporated to prevent departing employees from taking an employer’s customers with them.

Confidentiality agreements and provisions are designed to keep the terms of a contract or agreement confidential. Typically, these agreements include specific language with remedies available in the event of default.
